Share Your Passion, Inc. (“we,” “SYP,” or “Company”) provides a mobile payment, ordering, and customer rewards platform, along with related services (collectively, the “Services” or “SYP Services”). We also provide and/or enable related mobile applications, software applications, websites, and microsites (collectively, the “Apps” or “SYP Apps”), which allow you (“User”) to make payments for goods and/or services to SYP and participate in merchant incentive and rewards programs (“Programs”) at both physical and online points of sale (“POS”), among other available functions.

By accessing, downloading, copying, or using any SYP App, including this App, and/or the Services, you agree to be bound by these Terms and Conditions (“User Terms” or “Agreement”). THESE USER TERMS CONSTITUTE A LEGAL AGREEMENT BETWEEN YOU AND SYP AND INCLUDE AN ARBITRATION CLAUSE UNDER WHICH CERTAIN CLAIMS MAY NOT BE BROUGHT IN COURT OR DECIDED BY A JURY. PLEASE READ CAREFULLY.

2. SYP User Account

To use an SYP App for transactions and/or participate in merchant reward campaigns, you must first register and create an SYP User Account and associate a valid debit or credit card. By registering for an SYP User Account, you agree that:

  • All information provided to SYP is accurate, current, and complete, and you will update it as necessary.
  • You will maintain the security of your User Account, accept responsibility for all activities associated with it, and bear the risk of unauthorized access due to your actions or omissions.
  • You are of legal age to form a binding contract or, if between 13 and 18, will use the account under parental supervision. The platform is not intended for users under 13.
  • You have not and will not create multiple SYP accounts using different email addresses.
  • Your registration and use of SYP comply with applicable laws and will not be used for illegal activities.
  • Your account, including any credits or rewards, is personal and non-transferable.

Payment Methods

SYP allows you to link a debit, credit, or prepaid card issued by MasterCard, Visa, American Express, or Discover to make purchases through the platform. Your User Account is not a bank account, and SYP is not a financial institution. By linking a payment method, you confirm you are an authorized user of the card.

Test Authorizations

By adding a payment method, you consent to SYP temporarily authorizing a small charge (typically $1.00 or less) to verify the payment instrument. This charge will not be collected and will disappear within a few days.

Termination of User Account

SYP reserves the right to reject, suspend, or terminate your User Account and access to the SYP Services if you violate these User Terms, at SYP’s sole discretion.

Developer Use of SYP Accounts

If you are using an SYP User Account for software or application development, additional Developer Terms apply (https://www.getsyp.com/developer-terms).

3. License to Use the SYP Apps and Websites; Intellectual Property

Limited License

SYP grants you a non-exclusive, non-transferable license to access and use the SYP Apps and websites solely for personal use of the Services. You may not:

  • Modify, copy, distribute, or reverse-engineer any SYP property.
  • Remove or alter copyrights, trademarks, or proprietary notices.
  • Use SYP content for commercial purposes without permission.

All rights not expressly granted remain with SYP and its licensors.

Trademarks and Patents

The names “SYP” and associated logos are trademarks of SYP. You may not use them in any way that causes confusion or disparages SYP. Additionally, SYP’s systems and methods are protected by patents, and no rights to these patents are granted.

Third-Party Property

SYP Apps may feature third-party logos, trademarks, or images. All rights to such third-party content remain with their respective owners.

4. Authorization of Payments on the SYP Platform

Payment Authorization

By linking a payment method and using SYP Apps to complete transactions, you authorize SYP to charge your linked payment method for:

  • The full transaction amount (minus any applied credits).
  • Any necessary reversals, refunds, chargebacks, or adjustments.

Your purchases are also subject to your bank’s cardholder agreement, and you are responsible for all related fees.

Recurring Billing

SYP may consolidate multiple transactions into a single monthly charge on your linked payment method. You will receive prior notification via email, and charges will typically occur on the same day each month.

If individual transactions exceed $150, SYP may process an early grouped charge before your regular billing date. By using the Services, you agree that grouped charges under $750 may be processed without additional notice.

You can request changes to this billing structure by contacting SYP Support in writing at least three (3) days before a scheduled charge.

Failed Transactions & Debt Collection

If a charge to your payment method fails, SYP will notify you via email or app notification. Your account will be temporarily disabled until you update your payment details.

If an outstanding balance is not resolved within 30 days, SYP may employ a collection agency to recover the debt. You will be responsible for all legal, court, arbitration, or collection fees.

Prohibited Transactions

SYP Services may NOT be used for:

  • Money transfers between individuals.
  • Cash advances, check cashing, or gambling activities.
  • Transactions requesting cash back from merchants.

SYP reserves the right to decline any transaction that violates these terms.

Transaction Receipts

After each transaction, SYP provides an electronic receipt via email and/or within the App, including:

  • Date, location, and amount of the transaction.
  • Merchant details.
  • Contact information for SYP Support.

For recurring billing, monthly statements will also be emailed.

Disputing Charges

If you falsely report an authorized transaction as fraudulent, SYP reserves the right to:

  • Cancel your User Account immediately.
  • Seek legal remedies for damages incurred.

5. Consent to Electronic Disclosures and Notices; Paper Copies

By accepting these User Terms, and/or by checking the box titled “Join SYP!,” “Sign Up,” “Log In,” or any similar requested acknowledgment in connection with the notice: “By tapping above [or below] you agree to SYP!’s Terms & Conditions,” or “By tapping above [or below] you agree to the terms and conditions and privacy policy,” or similar notice, which you hereby adopt as your electronic signature, you agree that SYP! will provide you these User Terms, its Privacy Policy, and all other applicable terms, as well as all disclosures, notices, transaction receipts, transaction authorizations, and transaction statements required by law, and other information about your SYP! User Account and legal rights and duties (“Disclosures”), electronically by posting it on our website, to the email address associated with your User Account, and/or through in-app messaging.

Your electronic acknowledgment of this Agreement, and any other agreements and documents, has the same effect as if you signed them in ink. You agree that electronic Disclosures and notices have the same meaning and effect as if SYP! had provided you with paper copies, whether or not you choose to view the Disclosures. Such Disclosures and notices are considered received by you within 24 hours of the time posted to our website, or emailed or messaged to you.

To access and retain electronic Disclosures, you will need, and represent that you have, the following: (i) a computer or mobile device with an Internet connection; (ii) a current web browser that includes 128-bit encryption and has cookies enabled; (iii) a valid email address associated with your User Account (if you use a spam filter that blocks or re-routes emails from senders not listed in your email address book, you agree to white-list all emails from the @getsyp.com domain); and (iv) sufficient storage space to save past Disclosures and/or an installed printer to print them.

You have the right to receive Disclosures in paper form. If you wish to receive a paper copy of any Disclosure or transaction receipt, you may request one within 180 days of the date of the Disclosure or receipt. SYP! will provide paper copies free of charge. Requests for paper copies or to withdraw your consent to future electronic Disclosures may be made by mailing a written request to:

We will provide a replacement copy of your receipt within ten (10) business days. Requests to cancel your consent to future electronic Disclosures will be completed in a reasonable time. SYP! reserves the right to terminate your SYP! User Account if you withdraw consent to future electronic Disclosures. You may update the information required to contact you electronically by logging into the SYP! app or website.

6. Unauthorized Transactions; Lost Devices; Error Resolution

If any transaction Disclosure you receive appears incorrect, unauthorized, or fraudulent, you must notify SYP! immediately, either by clicking a link in the email transaction receipt to flag the transaction or by contacting SYP! directly (available 24/7) at:

Lost Devices

If you lose any mobile device on which a SYP! app linked to your User Account is installed, or if your User Account password is compromised (“Lost Device”), you must notify SYP! immediately at info@getsyp.com.

SYP! Security; Reporting Requirements

SYP! employs various security measures and proprietary protocols to protect your account from unauthorized access and fraudulent charges, including an optional PIN lock feature. Given these protections, we generally do not seek reimbursement from you for fraudulent charges. However, our ability to reimburse fraudulent transactions depends on how quickly you notify us:

  • If SYP! confirms an unauthorized or fraudulent transaction and you report it within two (2) business days of the transaction receipt—or, in the case of a Lost Device, within two (2) business days of the loss—SYP! will fully reimburse you.
  • If you fail to report the fraudulent transaction within two (2) business days, your liability is limited to the lesser of $500 or a combination of (i) $50 or the amount of fraudulent activity within the initial two (2) days (whichever is less), and (ii) all fraudulent charges after the initial two (2) days but before you notify SYP!.
  • If you fail to notify SYP! within sixty (60) business days, you will be responsible for all fraudulent charges beyond that period.
  • If your state provides lower liability limitations for fraudulent transactions, those state laws will apply instead.
  • SYP! is not responsible for any Gift Card Credit associated with your User Account that is lost due to fraud or unauthorized access.

For issues related to your payment instrument, your liability for fraudulent charges may also be governed by the terms of the issuing institution.

If SYP! determines that you have engaged in fraudulent activity or violated these Terms, we may recover any amounts due, impose a $100 investigation fee, and immediately terminate your account.

7. Merchant Incentive and Reward Campaigns; Campaign Credit

By using SYP! at a merchant’s point of sale (POS) or for online orders, you automatically participate in promotional campaigns, rewards programs, and other incentives offered by participating merchants and third-party partners (“Programs”). These may include loyalty rewards, referral bonuses, product incentives, and other discounts.

Important: Rewards for mobile orders made through the SYP! app only include the rewards displayed in the app at the time of purchase and may not include all promotions offered by the merchant outside of the SYP! platform.

SYP! will automatically redeem any applicable Merchant Credit (merchant-offered rewards) or User Credit (third-party rewards) at the time of purchase. The corresponding credit will be deducted from your total transaction amount.

Programs and credits are offered solely by the merchant or third-party partner, and they are responsible for setting the rules, including expiration dates. Any complaints regarding the awarding or redemption of credits should be directed to support@getsyp.com. While SYP! may assist in resolving disputes, we are not responsible for a merchant’s failure to honor a Program.

8. Mobile Ordering

SYP! allows users to place mobile orders for pickup from third-party merchants. SYP! acts solely as a technology provider to facilitate transactions and does not represent or have any direct relationship with the merchant beyond the ordering service.

Third-party providers available through the SYP! app operate independently and may also be accessible via other platforms or apps unrelated to SYP!. All merchant names and trademarks in the SYP! app belong to their respective owners and do not imply an endorsement of SYP!.

SYP! does not guarantee the accuracy of menu listings, pricing, or product descriptions obtained from third parties. Additionally, rewards and promotions from third-party apps or channels that are not integrated with SYP! will not be available when ordering through the SYP! platform.

SYP! may charge a convenience or service fee in addition to the merchant’s prices. This fee will be clearly displayed in the app and on your email receipt as a “Service Fee.”

9. Privacy, Security, and User Data

SYP! Privacy Policy

At SYP!, we prioritize your privacy and security. By agreeing to our User Terms, you confirm that you have read, understood, and accepted our Privacy Policy, which is incorporated into these terms in its entirety. Since our Privacy Policy is periodically updated, we encourage you to review it from time to time.

Payment Instrument Security

SYP! complies with the Payment Card Industry Data Security Standards (“PCI-DSS”) and will never share your payment details except as required to process authorized transactions. We do not store payment information on our servers. Instead, we partner with Braintree Payment Services for secure storage of payment data. All data transmitted to SYP! is encrypted and protected using industry-standard security measures. Learn more in our Security Policy.

No Access to Financial Information

SYP! Apps, or any authorized third-party applications, cannot capture or store your financial account details without your explicit permission. You should never be asked to disclose sensitive financial information such as your Social Security number for any SYP! transaction. If such a request occurs, report it to SYP! immediately.

Granting Permissions to User Data

By using SYP! services, you authorize us to securely collect, store, and use your account information and transaction data (“User Data”). This data is used to comply with legal regulations, process transactions, provide analytics, and support marketing efforts by SYP! and its merchant partners. By accepting these terms, you consent to our collection and use of this data in accordance with our Privacy Policy.

Granting Permissions to App Providers

By downloading a SYP! App or signing in with your SYP! account, you also grant the App provider access to functionalities such as creating orders, claiming rewards, and managing your account details. Additionally, your email address may be shared with the provider, subject to their privacy policy.

Granting Additional Permissions

When connecting to SYP! via third-party applications or websites, you may be required to grant additional permissions, such as accessing your account, transaction history, or order creation. It is your responsibility to review and manage these permissions. You can revoke any granted permissions at any time by logging into your SYP! account at GetSYP.com.

10. Third-Party Websites and SYP! Apps

SYP! Apps and websites may contain links to third-party apps, websites, and services. Some SYP! Apps are operated by third parties and are governed by their own terms and policies.

Third-Party App Compliance

All third-party SYP! Apps must comply with SYP!’s Terms of Service and Privacy Policy. However, SYP! is not responsible for the content, security, or data practices of third-party apps or websites. When you leave the SYP! platform, our Privacy Policy no longer applies, and you must review the third party’s policies.

No Endorsement of Third Parties

SYP! does not endorse or assume responsibility for any third-party app, website, or service that integrates with our platform. You should conduct due diligence before granting access to your User Data or engaging in transactions.

11. User Submissions and Intellectual Property

User Ideas

We welcome your feedback and suggestions for improving the SYP! platform. However, any ideas, comments, or suggestions you submit will become the sole property of SYP! without compensation. We may use, modify, and commercialize such submissions freely, without obligation to you.
